The Grow & Thrive Ecosystem is operated by E.M.B.O.A LLC, a Wyoming-registered limited liability company ("Company," "we," "us," or "our"). The ecosystem comprises four independent but interconnected platforms: • Grow & Thrive (growandthrive.live) — The parent hub, community network, and professional services marketplace. • Flashpoint (flashpoint.growandthrive.live) — AI-powered business plan generation and investor readiness platform. • AI Fluency (aifluency.growandthrive.live) — AI literacy, upskilling, and mentorship platform for non-technical professionals. • EMBOA Certification (emboa.growandthrive.live) — Professional credentialing and certification program. Each platform operates independently and is capable of standing alone as a product. However, all platforms share a common ecosystem purpose: providing accessible, structured support for individuals navigating economic disruption caused by artificial intelligence adoption in the global workforce. Users may register for and use any one platform without obligation to use the others. Cross-platform benefits and integrations are available where noted, but are not required for any individual platform's core functionality.

Flashpoint offers four service tiers. Each is a standalone, one-time purchase. There are NO subscriptions, NO recurring fees, and NO hidden charges unless explicitly stated. TIER 1 — IDEA SPARK (FREE) This tier is provided at no cost. Users submit their business concept and receive a structured overview including a problem/solution summary, target market identification, basic business model outline, and key milestones. Delivery is immediate via the platform. No payment is required. Access is granted via a unique personal access code emailed upon submission. This tier does NOT require any upgrade to access its full deliverables. The Idea Spark is a complete, standalone product. TIER 2 — STRATEGIC BLUEPRINT ($19.99 USD — One-Time) A single, non-recurring payment of $19.99 USD. Users receive a detailed feasibility analysis, market potential assessment, financial reasoning and viability study, and a 10-slide pitch deck structure. Delivered via PDF and DOCX. Access code is issued and activated upon payment clearance. Payment window is 7 calendar days from order submission. There is no obligation to purchase Tier 2 if Tier 1 meets your needs. TIER 3 — EXECUTIVE GRAND PLAN ($49.99 USD — One-Time) A single, non-recurring payment of $49.99 USD. Users receive a comprehensive business plan of 8–20 pages, operations and revenue model, competitive analysis, financial projections, and a 3-year financial overview. Delivered via PDF, DOCX, and CSV financial model. Access code activated upon payment clearance. 7-day payment window. There is no obligation to purchase Tier 3 if a lower tier meets your needs. TIER 4 — CAPITAL CAMPAIGN (Custom Pricing — Human-Assisted) The Capital Campaign is a premium, human-assisted fundraising accelerator. Pricing is customized based on the scope of the engagement. Users apply via the Capital Campaign page and receive a consultation before any financial commitment is made. This tier is intended for users with a validated business concept who are ready to actively pursue investor funding. Delivery is approximately 60 days from engagement start. This tier is not required for any other Flashpoint service. IMPORTANT: Purchasing any Flashpoint tier does NOT automatically enroll the user in Grow & Thrive subscription, AI Fluency mentorship, or EMBOA Certification programs. Each is a separate product with its own terms and pricing.

The Grow & Thrive ecosystem was specifically designed to serve two underrepresented and underserved populations facing economic disruption: SECTION A — DISPLACED PROFESSIONALS (AI-Impacted Workers) We recognize that AI adoption is contributing to workforce restructuring across multiple industries. Many workers — experienced, qualified, and capable — are facing involuntary job displacement, reduced hours, or role elimination due to AI automation adoption by their employers. For these users: Flashpoint's Tier 1 (Idea Spark) is specifically offered free of charge as a soft landing. It provides immediate, structured value at zero financial risk. We understand that a person managing a mortgage, family responsibilities, car payments, and household expenses cannot take financial risks during a period of income instability. No displaced worker is ever required to purchase a higher tier to receive meaningful help. Tier 1 is complete and functional as a standalone product. Upgrades are available when and if the user is ready — financially and emotionally. SECTION B — RECENT GRADUATES & FIRST-TIME FOUNDERS We also serve college graduates, graduate-level students, and first-time entrepreneurs who may have limited work experience, limited business knowledge, and limited capital — but a genuine idea and the drive to pursue it. For these users: The free Tier 1 provides a structured, zero-risk starting point. No MBA is required. No prior business experience is necessary. The platform is designed to translate raw ideas into structured plans using AI-powered tools. Neither audience is required to commit to any paid tier, subscription, or ongoing relationship with the platform to receive initial value. We believe that giving something real for free — and making upgrades genuinely worth the investment — is the right way to build trust in a time of significant uncertainty.

While each platform is independent, users of one platform may access benefits or integrations from others: • Flashpoint users may book mentorship sessions through AI Fluency. These sessions are governed by AI Fluency's separate terms of service. • AI Fluency courses may reference or complement Flashpoint business planning tools, but neither platform requires the other. • EMBOA Certification may be pursued independently of Flashpoint or AI Fluency. • Grow & Thrive serves as the community hub and may reference all three sub-platforms. Cross-platform referrals and integrations are provided as convenience features. Using one platform does not constitute agreement to the terms of another platform. Each platform's terms govern only that platform's services. Data sharing between platforms: User data submitted to one platform (e.g., business plan data on Flashpoint) is NOT automatically shared with other ecosystem platforms without explicit user consent. Each platform maintains its own data environment.

All paid Flashpoint tiers are one-time purchases. There are no recurring charges, subscriptions, or auto-renewals associated with any Flashpoint tier. PAYMENT METHODS: Due to our operational base in Cambodia — one of the world's underserved financial markets — we accept a range of international payment methods including Payoneer (corporate/international), Western Union / MoneyGram (individual international), direct bank transfer (USD/KHR), Bakong / Wing / ABA Pay (Cambodian digital wallets), and cryptocurrency (BTC, USDT, XAUT, ETH, BNB). All payments are fully documented with invoice and receipt. ACCESS CODE POLICY: Upon order submission, a unique access code is reserved for the user. For free tiers, the code is activated immediately. For paid tiers, the code is activated within 24 hours of confirmed payment clearance. The 7-day payment window begins at the time of order submission. REFUND POLICY: Given the digital and immediately-delivered nature of our services, refunds are evaluated on a case-by-case basis. If a plan was not delivered as described, please contact info@growandthrive.live within 7 days of delivery. We are committed to making it right. NON-DELIVERY: If payment is received and the plan is not delivered within the stated timeframe, users are entitled to a full refund or re-delivery at their election.

All business plans, analyses, and documents generated by Flashpoint are produced using artificial intelligence tools and are for informational and planning purposes only. They do not constitute legal advice, financial advice, investment advice, or professional consulting services. AI-generated content should be reviewed by qualified professionals before being used in any formal business, legal, or financial context. The Company makes no guarantee that AI-generated business plans will result in business success, investment, employment, or any specific financial outcome. The accuracy of AI-generated content depends significantly on the quality and completeness of the information provided by the user. Incomplete or inaccurate inputs may produce incomplete or inaccurate outputs.

To the fullest extent permitted by applicable law, E.M.B.O.A LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, arising from: • The use of or inability to use any platform in the ecosystem • The accuracy, completeness, or usefulness of AI-generated content • Investment decisions made based on platform outputs • Employment or business outcomes following use of the platforms • Technical failures, service interruptions, or data loss Our total liability to any user for any claim arising out of or relating to these terms or the use of our platforms shall not exceed the amount paid by that user to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

These terms are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
